Terms of Service

1. Acceptance of Terms

By accessing and using SparkAngles (sparkangles.com, the mobile application, and related services), you accept and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not access or use SparkAngles. These terms constitute the entire agreement between you and Verified, Inc. ("us", "we", or "Company").

2. Description of Service

SparkAngles is an AI-powered intelligence platform that analyzes news and market information to generate personalized strategic briefs for business users. The service includes:

• Daily personalized news feed scoring articles for business relevance.
• AI-generated briefs with five sections: Internal Strategy, External Thought Leadership, Sales Positioning, Client Insights, and Product Direction.
• Credit-based consumption model where each brief generated costs credits.
• Subscription plans providing monthly credit allocations.

The service is provided "as-is" and may be modified or suspended at any time at our discretion.

3. User Accounts

To use SparkAngles, you must create an account with accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your password and account credentials.
• All activity that occurs under your account, whether authorized or unauthorized.
• Notifying us immediately of any unauthorized use or security breach.
• Using the service only for lawful purposes and in accordance with these terms.

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

4. Subscription and Billing

SparkAngles offers subscription plans on a monthly basis:

• Free Trial: 7 days of access, requiring a valid credit card. The trial auto-converts to a paid subscription unless canceled before the trial ends.
• Starter Plan: $49/month, including 30 briefs and other features as described on our pricing page.
• Pro Plan: $149/month, including 150 briefs and premium features.

Billing is processed monthly on the same day you subscribed. Unused credits do not roll over and expire at the end of the billing month. You can cancel your subscription at any time through your account settings, with cancellation effective at the end of your current billing period.

5. Credit System

SparkAngles operates on a credit-based consumption model:

• Credit Allocation: Your subscription plan includes a monthly allotment of credits. Free trial users receive limited credits.
• Brief Generation: Generating a brief consumes one credit. You cannot generate a brief if you lack sufficient credits.
• Credit Top-Ups: Additional credits can be purchased as needed. Top-up pricing is shown at checkout.
• Expiration: Monthly subscription credits expire at the end of the billing month and do not roll over. Purchased top-up credits remain valid for 12 months from purchase.
• Refunds: Used credits are non-refundable. Refund eligibility for unused credits is subject to our refund policy.

6. Acceptable Use Policy

You agree not to use SparkAngles for any of the following:

• Violating any laws, regulations, or third-party rights.
• Harassment, threats, abuse, defamation, or discrimination.
• Unauthorized access to our systems or other users' accounts.
• Scraping, reverse engineering, or extracting content for commercial purposes without permission.
• Uploading viruses, malware, or malicious code.
• Spamming, phishing, or misleading communications.
• Circumventing rate limits, credit systems, or access controls.
• Reselling or redistributing SparkAngles features as your own service.

Violating this policy may result in account suspension or termination without refund.

7. Intellectual Property Rights

Intellectual property rights are allocated as follows:

• Your Data: You retain ownership of your business profile data, including company information and preferences you provide. You grant us a license to use this data to operate and improve SparkAngles.
• Generated Briefs: Briefs generated by SparkAngles using your data and public information are provided for your use. You may use briefs internally, share them with team members, and distribute to clients as business intelligence.
• SparkAngles Platform: All platform code, design, features, algorithms, and trademarks are owned exclusively by Verified, Inc. You may not copy, modify, reverse engineer, or create derivative works from the platform.
• Third-Party Content: News articles and sources used in brief generation are the property of their original publishers. SparkAngles does not claim ownership of third-party content.

8. Disclaimer of Warranties

SPARKANGLES IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING:

• Fitness for a particular purpose.
• Merchantability or non-infringement.
• Accuracy, completeness, or timeliness of briefs or news content.
• Uninterrupted or error-free service.

We do not warrant that SparkAngles will be suitable for your specific needs or that AI-generated insights will always be accurate. News analysis is for informational purposes and should be independently verified before making business decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERIFIED, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING FROM:

• Use or inability to use SparkAngles.
• Delays, interruptions, or inaccuracies in service.
• Actions taken based on briefings or news analysis.
• Third-party services (Supabase, Stripe, Anthropic, etc.).
• Unauthorized access or data breaches.

Our total liability for any claim arising from these terms shall not exceed the amount you have paid us in the 12 months prior to the claim.

10. Termination

Either party may terminate these terms and your account at any time:

• By You: Cancel your subscription through your account settings. Cancellation takes effect at the end of your current billing period.
• By Us: We may terminate your account immediately if you violate these terms, engage in fraud, or pose a security risk. We will provide notice when possible.
• Effect of Termination: Upon termination, your access to SparkAngles ceases immediately. Unused credits and prepaid fees are generally non-refundable unless otherwise stated in writing.

11. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of the State of California, without regard to conflicts of law. Any legal action or proceeding relating to these terms shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you irrevocably consent to the jurisdiction and venue of such courts.

12. Modifications to Terms

We may revise these Terms of Service at any time. Significant changes will be posted on this page and we will notify users via email. Your continued use of SparkAngles after changes take effect constitutes your acceptance of the revised terms.
